I did check that - did have the admin privy on both the Mac Os and VM , same error.

Fine but, pls read again the note which I posted, straight from the PD's page "What is MacLook and how to use it?":
"Note: This theme is available for Windows XP and later Windows guest operating systems with up to date Parallels Tools installed."
So, the picture above might show a virtual machine running XP, but from the note I gather that "this theme" will look just the same on "Windows XP and later Windows guest operating systems" - including Vista and Windows 7.
Remember, it's a "Mac Look" theme, and the pic shows exactly what it looks like... (trying to imitate Snow Leopard, obviously). Not sure what else you're hoping for.
(However, it may happen that "MacLook" installs fine on XP but fails on Windows 7, because somehow the theme needs to be updated, etc. Who knows...)

Due to my technical issue with Parallels-6, I decided to downgrade back to Parallels Desktop-5. The Tecnical Support has got time and I've got a watch, or calander in this case
Imagine my surprise when now the same error occurs on Parallels-5.
It never used to, which brings me to the conclusion that some software might be in conflict with Parallels. My network settings has not changed.
Paragon NTFS (I think ver-5) used to result in conflicts using SL, which got resolved after uninstalling that. I suppose the only way to resolve this will have to uninstall bit-by-bit of my "new" software and drivers?
Alternatively, I need to do a restore of my machine to an earlier time... or start from scracth?
Any advice from the more seasoned mac users will be appreciated.

Okay... Just an update...
Uninstalled Paragon (again), with the problem persisting.
Uninstalled desktop-Earth, and some of the more recent additions of 3rd party application. No luck.
Decided to pop in the Mac SL-disk, and re-install. (Not Format and install)
In less than 1-hour, the installation was done, my applications and documents are all in-tact, and most importantly... Parallels is working again.
I still don't know what caused the problem, although I have a vague suspician that Clean my Mac MIGHT be a cause, I don't know.
Been there, done that... Converted to Mac...
Well, now you're just one step from knowing the answer to that question - just install Clean my Mac again and see what happens... :->
Personally I don't trust those cleaner apps. Either uninstalling is as simple as removing the app and 1-2 prefs files, and then I can do it myself, or it's a complicated process a la Microsoft or Parallels, and they can't handle it anyway...
Glad you got your PD work again though.

sudo kextload /Library/Parallels/Parallels\ Service.app/Contents/Kexts/10.6/prl_usb_connect.kext
sudo kextload /Library/Parallels/Parallels\ Service.app/Contents/Kexts/10.6/prl_vnic.kext
sudo kextload /Library/Parallels/Parallels\ Service.app/Contents/Kexts/10.6/prl_netbridge.kext
sudo /Library/Parallels/Parallels\ Service.app/Contents/MacOS/prl_disp_service -e –logfile /var/log/prl_disp_service_server.log –pidfile /var/run/prl_disp_service.pid &
